TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS

1.1. By accessing or using the consulting services provided by 804 Real Estate, LLC ("Consultant" or "We"), you agree to be bound by these Terms and Conditions (the "Terms"). If you do not agree with these Terms, please do not use our consulting services.

2. CONSULTING SERVICES

2.1. Scope of Services: We will provide consulting services as mutually agreed upon in the consulting agreement or proposal. The specific details of the consulting services, including scope, deliverables, and fees, will be outlined in a separate agreement.

2.2. Client Responsibilities: You, the Client, are responsible for providing accurate and complete information necessary for the successful provision of consulting services. You must cooperate with us in a timely manner to fulfill the project requirements.

3. FEES AND PAYMENT

3.1. Payment Terms: Fees for consulting services will be detailed in the consulting agreement. Payment terms and schedules will also be specified therein.

3.2. Late Payment: In the event of late payment, we may suspend services until payment is received. A late fee may be applied as specified in the consulting agreement.

4. CONFIDENTIALITY

4.1. Both parties agree to maintain the confidentiality of any information exchanged during the course of the consulting engagement. We will not disclose your confidential information to third parties unless required by law.

5. INTELLECTUAL PROPERTY - Any intellectual property created during the consulting engagement will be addressed in the consulting agreement. Generally, unless otherwise stated, any work product or materials produced by us during the engagement will remain the property of the Consultant.

6. TERMINATION

6.1. Termination by Either Party: Either party may terminate the consulting engagement with written notice, subject to any termination provisions outlined in the consulting agreement.

6.2. Termination for Cause: We reserve the right to terminate the consulting engagement immediately if you breach these Terms or the consulting agreement.

7. DISCLAIMER 

7.1. Our consulting services are provided "as is." We make no representations or warranties, express or implied, regarding the services' accuracy, reliability, or fitness for a particular purpose.

8. LIMITATION OF LIABILITY

8.1.  In no event shall we be liable for any consequential, special, indirect, or punitive damages arising out of or related to the consulting services, even if advised of the possibility of such damages. Our liability is limited to the fees paid for the specific consulting services.

9. INDEMNIFICATION

9.1 You agree to indemnify and hold us harmless from any claims, losses, liabilities, and expenses arising from your use of the consulting services or any breach of these Terms.

10. GOVERNING LAW

10.1 These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia.

11. AMENDMENTS

11.1. We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting on our website or providing notice to you.

12. CODE OF ETHICS/DISCLOSURE

12.1. 804 Real Estate, LLC and it's agents are all licensed to sell real estate in the Commonwealth of Virginia.  Some consultants used may work as independent contractors for 804 Real Estate, LLC.  Others may not.  804 Real Estate, LLC is members of the National Association of REALTORS, Virginia Association of REALTORS, Central Virginia Association of REALTORS (CVRMLS) and are bound by the National Association of REALTORS Code of Ethics.  Assignments may not infringe upon any potential violation of such Code of Ethics - specifically in regards to Articles 15, 16, and 17.  CONSULTING AGREEMENTS are separate in any shape or form from any brokerage agreements between 804 Real Estate, LLC and its' Clients.  804 REAL ESTATE, LLC AND ITS AGENTS/BROKER ARE NOT LICENSED ATTORNEYS AND CANNOT PROVIDE LEGAL ADVICE.  FOR LEGAL ADVICE - YOU WOULD NEED TO CONSULT A LICENSED ATTORNEY.

13. ENTIRE AGREEMENT

13.1. These Terms, together with the consulting agreement, constitute the entire agreement between the parties and supersede any prior or contemporaneous agreements, oral or written.
